1. About these terms
These Terms of Service (“Terms”) govern access to and use of the client management and reporting platform operated by Zeem Development LLC (“Zeem,” “we,” “us”), a business located in California. The platform includes hub.zeemdev.com, shared reports at reports.zeemdev.com, connected-service features, and reports delivered through the platform.
Please read these Terms before using the platform. If you do not agree, do not use the platform and contact us about ending access. If you use it on behalf of a business or client, you must have authority to act for that organization. Account holders must be at least 18 years old and legally capable of entering into an agreement.
A separate signed service agreement may establish additional terms for a client relationship. If that agreement conflicts with these Terms on a matter it expressly addresses, the signed agreement controls for that matter. These Terms do not replace the policies of third-party services or govern unrelated websites merely because Zeem built them.
2. Accounts and access
Provide accurate account and contact information and keep it current. Protect your sign-in credentials and do not share an individual account with someone else. You are responsible for activity you authorize through your account and for notifying us promptly if you suspect unauthorized access.
Account access depends on assigned roles, permissions, and client relationships. Being able to see a report or access a link does not authorize you to access another client's information. Administrators must assign appropriate access and review it when staff roles or client relationships change.
We may verify authorization and restrict access to protect client information and the platform. Contact support@zeemdev.com about access problems or suspected security incidents. Do not include passwords or API secrets in a support email.
3. Acceptable use
Use the platform lawfully and only for authorized business purposes. You must not:
- Access, disclose, alter, or delete information without permission, impersonate another person, or bypass account or report-access restrictions.
- Upload malware, interfere with the service, exploit vulnerabilities, or attempt unauthorized security testing.
- Use automated scraping or requests that bypass access controls or unreasonably burden the platform or connected APIs.
- Submit unlawful, fraudulent, infringing, or unnecessarily sensitive information, or violate another person's privacy or intellectual property rights.
- Use email delivery for spam, unsolicited marketing, deceptive messages, or recipients you are not authorized to contact.
- Use connected-service data beyond the permissions granted, the applicable provider terms, or the purpose for which it was provided.
4. Your content and client data
You and your clients retain your respective rights in information, logos, documents, templates, and other content supplied to the platform. You must have the permissions and lawful basis needed to submit, connect, process, and share that information, including any required notices or consent.
You authorize Zeem to host, store, reproduce, format, transmit, and otherwise process that content only as needed to provide, secure, and support the requested services, including synchronization, report generation, exports, and configured deliveries. This permission does not transfer ownership or authorize us to sell your information or use it for unrelated advertising.
You are responsible for reviewing information you enter, selecting the correct client and assets, and maintaining any copies your business needs. Data handling, retention, and deletion are described in our Privacy Policy and any applicable client agreement. A request to delete data may affect reports or features that rely on it.
5. Connected services
Integrations may connect authorized Google, Facebook, Instagram, Microsoft, QuickBooks, or other supported business accounts. Connect only accounts and assets you are authorized to manage, and approve only the permissions needed for the features you use.
Third-party services are operated independently and have their own terms, privacy policies, permissions, charges, availability, and API restrictions. Their names and trademarks identify the relevant provider; they do not imply that provider sponsors or endorses Zeem.
You are responsible for maintaining required provider access, licenses, and credentials. Tokens can expire or be revoked, and provider changes can interrupt reporting. Automatic refresh, where supported, does not guarantee that access will remain valid. Credential reminders depend on an accurate saved expiration date, a working email configuration, and the platform running; they are a convenience and do not replace your own renewal procedures.
For Facebook and Instagram, you must have authority over the selected Pages, professional accounts, or advertising assets and comply with Meta's applicable terms. Zeem uses the authorized information for the reporting purposes described in the Privacy Policy. You may revoke provider access and request deletion of imported data.
6. Reports, sharing, and email delivery
Reports depend on available source data, provider definitions, permissions, date ranges, synchronization timing, and configuration. Metrics can differ between providers or change after a provider updates its data. Missing data, API limits, or expired access can produce incomplete reports. Check important results against the source before relying on them.
Reports are informational tools and do not constitute financial, legal, tax, or other professional advice. We do not guarantee a particular business outcome, marketing result, or accuracy of data supplied by a third party.
Dashboard links and QR codes grant access according to the report's sharing settings. An unrestricted link can be forwarded to others. Review password, expiration, and download settings where available, and confirm recipient addresses before sending email or a PDF. You are responsible for the sharing choices and deliveries you authorize.
Updating or disabling a link does not recall an email, PDF, screenshot, or other copy already received. A PDF is a snapshot of the exported report; a live dashboard can change as its data or configuration changes. Delivery schedules depend on service availability and working sender credentials, and email providers may delay, reject, or filter messages.
7. Platform ownership
Zeem and its licensors retain rights in the platform software, design, documentation, branding, and other materials we provide, except for your content and third-party materials. Subject to these Terms and your authorized access, you may use the platform for its intended business purposes and share reports you are authorized to distribute.
You may not copy, resell, sublicense, or create a competing distribution of the platform software without permission, or remove ownership notices. Restrictions on reverse engineering apply only to the extent permitted by law. Rights in client-created templates and deliverables are subject to the relevant client agreement.
8. Privacy and communications
Our Privacy Policy explains collection, use, disclosure, retention, security, and privacy choices, including Facebook and Instagram data-deletion instructions. You must respect the confidentiality and privacy of information you can access through the platform.
We may send operational communications needed to administer an account or provide requested services, such as report deliveries, support replies, and security or credential notices. Report recipients may contact the report owner or support@zeemdev.com to request that scheduled deliveries stop. Unmonitored sender mailboxes should not be used to request support.
9. Service agreements and fees
Any service scope, fees, payment schedule, subscription period, renewal, cancellation, refund, or service-level commitment must be established in the applicable client agreement or an order you accept. These Terms do not create an automatic subscription, a new charge, or a guaranteed service level merely because you view a report or receive an account.
Separate charges imposed by a connected provider remain subject to that provider's terms. Questions about your Zeem service agreement or billing should be sent to support@zeemdev.com.
10. Availability and changes to the service
We may maintain, update, or modify the platform, and interruptions may occur because of maintenance, hosting problems, security incidents, or third-party outages. Unless a signed agreement expressly provides otherwise, we do not promise uninterrupted access or a fixed delivery or synchronization time.
We will give reasonable notice of material reductions to contracted services when practicable, consistent with any applicable agreement and legal requirements. Urgent security work or circumstances outside our control may require action before notice can be provided.
11. Suspension and termination
We may suspend or restrict access when reasonably needed to address unauthorized activity, a material violation of these Terms, a security risk, a legal requirement, or termination of the relevant client relationship. Where appropriate and practicable, we will explain the reason and provide an opportunity to resolve the issue. Immediate action may be necessary to protect the platform or other people.
To end access, disconnect an integration, request an available export, or arrange deletion, contact your account administrator or support@zeemdev.com. Ending access does not automatically cancel a separate service agreement or delete all retained records. Retention and deletion remain subject to our Privacy Policy, applicable agreements, and law.
Provisions that by their nature need to continue after access ends, including ownership, confidentiality, applicable payment obligations, and dispute provisions, continue to apply to the extent permitted by law.
12. Warranties and liability
To the extent permitted by applicable law, and except for commitments expressly made in a signed agreement, the platform is provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement only where such disclaimers are lawful. We do not guarantee that the platform will be error-free or that third-party information will always be complete, current, or available.
To the extent permitted by applicable law, Zeem is not liable for indirect, incidental, special, or consequential losses resulting from use of the platform. This exclusion does not apply to liability that cannot lawfully be excluded, including responsibility for fraud, willful misconduct, gross negligence, or violations of law, and does not override rights or remedies that applicable law makes nonwaivable.
Any different liability terms in your signed service agreement apply as provided in that agreement and permitted by law. Nothing in these Terms removes our obligations under applicable privacy or consumer-protection laws.
13. Governing law and disputes
California law governs these Terms to the extent permitted by applicable law, without taking away mandatory protections available to you under another applicable law. A signed client agreement may specify different lawful dispute procedures for that relationship.
Please contact support@zeemdev.com with a description of a dispute so we can try to resolve it. This request does not prevent you from seeking urgent relief, exercising statutory rights, or bringing a claim in a court with proper jurisdiction. These Terms do not impose mandatory arbitration or a class-action waiver.
14. Updates and contact
We may update these Terms as the service evolves or legal requirements change. We will post the revised Terms and last-updated date and provide additional notice of material changes when required. Changes will not apply retroactively to alter already accrued rights, and we will seek additional agreement where required by law. If you do not agree with revised Terms, contact us about ending access before continuing to use the affected service.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion does not waive the right to enforce it later.
For questions about these Terms, contact Zeem Development LLC, California, United States, at support@zeemdev.com.
